Principle 5: Uphold integrity in financial reporting
Compliance with applicable financial reporting standards
The Directors aim to present a fair assessment of the Group’s financial performance, position and prospects
primarily through the quarterly reports to Bursa Securities as well as the Annual Report to shareholders.
Pursuant to the Companies Act, 1965, the Directors are required to prepare financial statements for each
financial year which give a true and fair view of the state of affairs of the Group and of the Company as at the
end of the financial year and of the results and cash flows of the Group and of the Company for the financial
year then ended.
The Directors consider that, in preparing the financial statements, the Group has adopted appropriate accounting
policies, consistently applied and supported by reasonable and prudent judgements and estimates. The Directors
also consider that all applicable approved accounting standards have been complied with and confirm that the
financial statements have been prepared on a going concern basis.
The Directors are responsible for ensuring that the Group and the Company keep accounting records which
disclose with reasonable accuracy at any time the financial position of the Group and of the Company and
which enable them to ensure that the financial statements comply with the Companies Act, 1965 and applicable
approved accounting standards.
The Board aims to ensure that it fulfills its responsibility in the area of financial reporting by appointing a suitably
qualified finance manager who is guided by the Finance Director to oversee the financial reporting function.
The Board is also assisted by the Audit Committee to oversee the Group’s financial reporting process and the
quality of its financial reporting. Towards this end, the Audit Committee meets to discuss and review the quarterly
results and the year end financial statements together with the Finance Director and the external auditors where
applicable before the financial reports are recommended to the Board for approval and public release.
