The Board of Directors of PCB (“Board”) wishes to announce that Pentamaster Technology (M) Sdn. Bhd. (“PTSB”), a wholly-owned subsidiary of Pentamaster International Limited, which in turn is a subsidiary of PCB, has established a wholly foreign-owned limited liability company in Germany, namely Pentamaster Automation (Germany) GmbH (“PAG”) (the “Establishment”).
PAG is a limited liability company established pursuant to the provisions of the German Act on Limited Liability Companies. The application for the Establishment was filed on 21 March 2023 and PAG was subsequently incorporated on 29 March 2023. The principal activity of PAG involves design and development, production and sales of automated test equipment, factory automation system and other handling solutions as well as providing technical consulting services and other related support services.
The establishment of PAG is part of the Group’s expansion plan to broaden its geographical footprint into Europe region and the share capital of PAG is Euro 25,000.
Save for Mr. Chuah Choon Bin and Ms. Gan Pei Joo, being Directors of the Company who are also directors of PTSB, none of the Directors and/or substantial shareholders of the Company and/or persons connected with them have any interest, whether direct or indirect, in the Establishment.
The Board, after taking into consideration all aspects of the Establishment, is of the opinion that the Establishment is in the best interests of the Company.
