Further to the announcement dated 18 March 2025, the Board of Directors of PCB wishes to announce that Pentamaster International Limited ("PIL"), a subsidiary of the Company which was previously listed on the Hong Kong Stock Exchange ("HKSE"), has on 25 April 2025 released an announcement to HKSE clarifying that copy of the order of the Grand Court sanctioning the Scheme was delivered to the Registrar of Companies in the Cayman Islands for registration on Thursday, March 20, 2025 (Cayman Islands time) and therefore all of the Conditions as set out in the section headed "3. Conditions of the Proposal and the Scheme" in Part VII - Explanatory Memorandum of the Scheme Document have been fulfilled, and the Scheme became effective on Thursday, March 20, 2025 (Cayman Islands time).  Nevertheless, the listing of the Shares on the Stock Exchange has been withdrawn with effect from 4:00 p.m. on Wednesday, March 19, 2025 (Hong Kong time).  There is no impact on other times and dates set out in the Scheme Document and the Announcements.
