We refer to our earlier announcements dated 9 September 2015 and 15 September 2015.

(Unless otherwise defined, all the abbreviations used throughout this announcement shall have the same meanings as defined in the earlier announcements in relation to the Proposed Private Placement)

On behalf of the Board of Directors of Pentamaster, Affin Hwang IB is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 7 October 2015, resolved to approve the listing and quotation of up to 13,324,305 new ordinary shares of RM0.50 each in Pentamaster, representing up to 10% of the issued and paid-up share capital of Pentamaster (excluding treasury shares), to be issued pursuant to the Proposed Private Placement, to independent third party investor(s) to be identified and at an issue price to be determined.  

The approval granted by Bursa Securities for the Proposed Private Placement is subject to the following conditions: 

(i) Pentamaster and Affin Hwang IB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposed Private Placement;

(ii) Pentamaster and Affin Hwang IB to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii) Pentamaster to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and

(iv) Pentamaster to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Section 132D of the Companies Act, 1965, in the event the current authority has expired.

Pentamaster is required to ensure full compliance of all the requirements pertaining to the Proposed Private Placement, as provided under the Listing Requirements, at all times.
